Terms & Conditions
Standard terms and conditions for doing business with Techlight.
1. Definitions
In these Terms and Conditions:
- "Techlight" means Techlight Pty Ltd (ABN: 96 085 807 174)
- "Customer" means the person or entity purchasing products or services from Techlight
- "Products" means lighting fixtures, fittings, accessories, and related goods supplied by Techlight
- "Services" means lighting specification support, sourcing coordination, and supply services
- "Quote" means the written quotation provided by Techlight for Products and/or Services
- "Order" means the Customer's acceptance of a Quote or request to purchase Products
2. Application of Terms
These Terms and Conditions apply to all sales of Products and provision of Services by Techlight to the Customer. They constitute the entire agreement between the parties and supersede all prior negotiations, representations, and agreements. Any variation to these terms must be in writing and signed by both parties. Acceptance of a Quote or placement of an Order constitutes acceptance of these Terms.
3. Quotations and Orders
3.1 Quotes are valid for 30 days from the date of issue unless otherwise stated. Prices are subject to change after this period.
3.2 Quotes are based on information provided by the Customer. Techlight reserves the right to revise pricing if the scope of work changes or if additional information affects the originally quoted specifications.
3.3 Orders must be confirmed in writing via email or purchase order. Verbal orders must be confirmed in writing within 24 hours.
3.4 Minimum order values apply. Orders below $500 (excluding GST) may incur additional handling fees.
4. Pricing and Payment
4.1 All prices are in Australian Dollars (AUD) and exclude GST unless otherwise stated. GST will be added at the applicable rate.
4.2 Payment terms are strictly 14 days from invoice date for established customers with approved credit accounts.
4.3 New customers may be required to pay a 50% deposit before order processing, with the balance due prior to delivery.
4.4 Late payments will incur interest at the rate of 1.5% per month (18% per annum) calculated daily from the due date until payment is received.
4.5 The Customer is responsible for all bank fees, credit card charges, and collection costs associated with payment.
5. Delivery and Risk
5.1 Delivery dates are estimates only and commence from the date of cleared funds and confirmed order details. Techlight is not liable for delays caused by manufacturers, shipping companies, or events beyond our control.
5.2 Risk in the Products passes to the Customer upon delivery to the nominated delivery address. Insurance during transit is available upon request at additional cost.
5.3 The Customer must inspect Products upon delivery and report any damage, shortage, or discrepancy within 48 hours. Claims made after this period may not be accepted.
5.4 Delivery to site does not include unpacking, installation, or assembly unless specifically quoted.
6. Returns and Cancellations
6.1 Standard stocked products may be returned within 14 days of delivery if in original, unopened condition with prior written approval. A 20% restocking fee applies.
6.2 Custom-made, special order, or discontinued products cannot be returned unless defective.
6.3 Order cancellations must be in writing. Cancellations after order processing may incur fees up to 100% of the order value depending on manufacturer charges incurred.
6.4 Products must be returned in original packaging with all accessories, manuals, and documentation. The Customer is responsible for return shipping costs.
7. Warranties and Liability
7.1Products are covered by the manufacturer's warranty. Techlight passes on these warranties to the Customer but does not provide additional warranties beyond those offered by the manufacturer.
7.2 Standard manufacturer warranties typically range from 1-7 years depending on the product category. Specific warranty terms are available upon request.
7.3Warranty claims must be made through Techlight in writing with proof of purchase and details of the defect. Techlight will coordinate with the manufacturer on the Customer's behalf.
7.4To the extent permitted by law, Techlight's liability for breach of any warranty or condition is limited to: (a) replacement of the product; (b) repair of the product; (c) refund of the purchase price; or (d) payment of the cost of having the product repaired.
7.5 Techlight is not liable for indirect, consequential, or economic loss, loss of profits, or loss of business opportunity arising from any supply.
8. Title and Security
8.1 Title to Products remains with Techlight until full payment is received and cleared funds are confirmed.
8.2Until title passes, the Customer holds the Products as bailee and must store them in a manner that clearly identifies them as Techlight's property.
8.3If the Customer fails to make payment when due, Techlight may enter the Customer's premises (with notice) to recover possession of unpaid Products.
9. Australian Standards and Compliance
9.1 All Products supplied by Techlight are required to meet applicable Australian Standards (AS/NZS) and electrical safety requirements.
9.2 Techlight sources Products from established manufacturers who warrant compliance with Australian Standards. Compliance certificates are available upon request for specified products.
9.3 The Customer is responsible for ensuring Products are suitable for their intended application and installed by licensed electricians in accordance with Australian Wiring Rules (AS/NZS 3000).
10. Intellectual Property
All intellectual property rights in specifications, drawings, designs, and documentation prepared by Techlight remain the property of Techlight. The Customer may use these materials solely for the project for which they were prepared and may not reproduce, distribute, or use them for other purposes without written consent.
11. Confidentiality
Both parties agree to keep confidential all commercially sensitive information disclosed during the course of business, including pricing, supplier relationships, project details, and technical specifications. This obligation survives termination of the business relationship.
12. Force Majeure
Neither party is liable for failure to perform obligations (other than payment) due to circumstances beyond their reasonable control, including: acts of God, war, terrorism, government actions, natural disasters, pandemics, strikes, manufacturer shortages, or shipping delays. The affected party must notify the other as soon as practicable.
13. Governing Law and Dispute Resolution
13.1 These Terms are governed by the laws of Queensland, Australia. The parties submit to the exclusive jurisdiction of the courts of Queensland.
13.2 In the event of a dispute, parties agree to first attempt resolution through good faith negotiation. If negotiation fails, parties may pursue mediation or legal proceedings as appropriate.
14. General Provisions
14.1 If any provision of these Terms is unenforceable, the remainder continues in effect.
14.2 No waiver of any breach is a waiver of any other breach. No delay in exercising rights operates as a waiver.
14.3The Customer may not assign rights under these Terms without Techlight's written consent. Techlight may assign its rights without restriction.
14.4 These Terms may be updated from time to time. The current version is available on the Techlight website.

These terms and conditions apply to all orders and business conducted with Techlight Pty Ltd from this date forward.
